General Description:  Responsible for day-to-day activities in administering the company’s internal, private equity program.  


  • Manage the day-to-day administration of equity compensation programs (e.g., stock options, restricted stock units and employee co-investment).
  • Maintain awards issuance, administer vesting events and produce relevant reporting.
  • Prepare subscription and other equity-issuance agreements.
  • Assist with company-wide equity co-investment offerings and annual employee exchange.
  • Maintain pending grant lists and assist in preparing materials for Board meetings.
  • Process new grants accurately and completely.
  • Maintain equity database integrity and ensure accuracy of recordkeeping. Update and maintain accurate equity participant information.
  • Work closely with Payroll to ensure accurate and timely tax withholding and reporting.
  • Collaborate with Legal department on equity compensation matters, as needed
  • Point of contact for employee questions related to equity programs and grants.
  • May support other company compensation management activities.

Knowledge, Skills and Abilities:

·        Prior stock administration experience required. Private company equity experience preferred. Understanding of options and restricted stock grants.

·        Bachelor’s Degree required.

·        Strong work ethic, ability to multitask and meet multiple deadlines effectively.

·        Proficiency with Microsoft Office products. Strong excel skills. Familiarity with Global Shares equity software is a plus.

·        Excellent written and verbal communication skills.

·        Excellent client service skills and the ability to communicate effectively throughout all levels of the organization.

·        Understanding of broader Human Resources issues.

·        Highly motivated, detail-focused and committed to maintaining the integrity of the USI Equity program.

·        Ability to manage highly confidential materials and information.
